Marketplace Rules

ARTICLE 1 — PURPOSE AND SCOPE
1.1 Purpose
These Marketplace Rules ("Rules") describe how the ORYN Quest marketplace works and the transaction conduct required of everyone who uses it, including:
- Memberships and Credits;
- Bookings;
- waitlists;
- cancellations and refunds;
- review and rating integrity;
- prohibited transactions;
- fees and marketplace economics;
- promotions, deals, and loyalty benefits;
- recurring enrollments; and
- the referral program.
1.2 Who Is Bound
These Rules bind both Parents and Vendors. For Parents, these Rules supplement the Terms of Use and the Parent & Guardian Terms and Conditions. For Vendors, these Rules supplement the Vendor Participation Agreement and the Vendor Terms & Conditions, and rank in the order of precedence stated in the Participation Agreement. Capitalized terms not defined here have the meanings given in those documents.
1.3 Marketplace Role
ORYN Quest operates a technology marketplace connecting Parents with independent Vendors. ORYN Quest is not the provider of Activities and does not take custody of Children.
ARTICLE 2 — MEMBERSHIPS AND CREDITS
2.1 How Credits Work
Parents purchase Membership plans that grant a monthly allotment of Credits. Credits are the unit used to book Activities on the Platform.
2.2 Credit Grants
Each Membership tier grants a stated number of Credits per billing cycle at the price displayed at purchase. Current tiers and pricing are displayed on the Platform's membership pages; ORYN Quest may change tiers and pricing prospectively with notice.
2.3 Additional Credit Purchases
Where offered, Parents may purchase additional Credits (top-ups) outside the monthly Membership grant, at the prices displayed at purchase.
2.4 Nature of Credits
Credits are digital booking units only. As stated in the Parent & Guardian Terms and Conditions, Credits are not legal tender, are not bank deposits, and have no cash value except where expressly required by Applicable Law.
2.5 Credit Expiry
ORYN Quest does not currently enforce automatic expiry of Credits. ORYN Quest reserves the right to introduce Credit expiry or rollover rules prospectively, with advance notice through the Platform before any such rule takes effect.
2.6 Debits and Refunds
Credits are debited when a Booking is confirmed. Credits are restored, where applicable, in accordance with the Refund & Cancellation Policy.
2.7 Payments
Payments are processed by third-party payment processors (currently Stripe). ORYN Quest does not store full payment card numbers.
ARTICLE 3 — BOOKINGS
3.1 Booking Flow
A Parent selects an Activity and session, and confirms the Booking using Credits at the Credit price displayed at checkout. The displayed Credit price is the price charged.
3.2 Waiver Requirements
Where a Vendor requires a liability waiver for an Activity, the Booking cannot be completed until the required waiver signature is provided. Waiver signatures are recorded against the waiver version in effect and retained.
3.3 Reminders
The Platform may send courtesy booking reminders (currently approximately one day before a session). Reminders are a convenience, not an obligation; Parents remain responsible for their schedules.
3.4 Attendance and Completion
Vendors record attendance for booked sessions. Where offered, completion certificates may be issued through the Platform when an enrollment is completed.
3.5 Insurance-Eligible Activities
For certain Activities (for example, eligible therapy-type services), a Parent may submit insurance information for verification. Verification status is shared with the relevant Vendor for that purpose only. ORYN Quest does not guarantee insurance coverage or reimbursement.
ARTICLE 4 — WAITLISTS
4.1 Joining a Waitlist
Where a session is full, Parents may join a waitlist.
4.2 Holds
When a spot opens, the next family in line automatically receives a hold with a limited claim window (currently twenty-four (24) hours), communicated through the Platform.
4.3 Expiry and Promotion
Holds that are not used within the claim window expire automatically. Expired holds are processed by the Platform on a rolling basis (currently every fifteen (15) minutes), and the next family in line is promoted and receives its own hold.
4.4 Good Faith
Vendors shall manage available spaces in good faith and shall not manipulate waitlists, as required by the Vendor Participation Agreement.
ARTICLE 5 — CANCELLATIONS AND REFUNDS
5.1 Governing Document
Cancellations, refund eligibility, credit restoration, and refund timing are governed by the Refund & Cancellation Policy.
5.2 Vendor Cancellations
Vendor-initiated cancellations are governed by the Vendor Participation Agreement. Affected Parents are handled under the Refund & Cancellation Policy.
ARTICLE 6 — REVIEW AND RATING INTEGRITY
6.1 Authentic Experiences Only
Reviews and ratings must reflect a reviewer's genuine experience with a booked Activity. The following are prohibited for all users:
- fake, paid, or incentivized reviews that are not disclosed;
- reviewing your own business or coordinating reciprocal reviews;
- review extortion (demanding a benefit to change or remove a review);
- retaliation or threats against a reviewer; and
- any manipulation of ratings or rankings.
6.2 Moderation of Reviews
Reviews are user content subject to the Community Guidelines, and ORYN Quest may remove reviews that violate them. Concerns about reviews may be reported to support@orynquest.com; see also the Trust & Safety Policy.
6.3 Vendor Quality Automation
Parent ratings feed automated Vendor quality enforcement:
- (a) a Vendor whose average rating falls below 4.0 stars (with at least three (3) reviews) is automatically placed on probation; and
- (b) a Vendor on probation is automatically restored when its average rating returns to 4.0 or higher,
as described in the Vendor Terms & Conditions.
ARTICLE 7 — PROHIBITED TRANSACTIONS AND CIRCUMVENTION
7.1 Keep Platform Transactions on the Platform
The marketplace works because Bookings, payments, and communications for Platform Activities stay on the Platform. For Activities offered through the Platform, all users are prohibited from:
- soliciting or making payment outside the Platform to circumvent the Credit system;
- quoting or seeking cash prices, cash discounts, or off-platform payment methods for Platform Activities;
- exchanging contact details for the purpose of moving a Platform booking off the Platform; and
- completing a discovered-on-Platform booking off the Platform to avoid Marketplace fees.
7.2 How This Is Enforced
Platform messaging is subject to automated moderation:
- (a) messages that disclose dollar pricing, propose off-platform payment, or share contact details in a steering context are flagged for administrative review, and the sender is shown a policy notice;
- (b) abusive messages are blocked outright; and
- (c) flags, including repeat-offense patterns, are reviewed by ORYN Quest.
Violations may result in warnings, listing restrictions, suspension, or removal.
7.3 Legitimate Relationships
Nothing in these Rules prohibits a Vendor from operating its independent business outside the Platform generally. The prohibitions in this Article apply to circumvention of transactions initiated, discovered, or conducted through the Platform.
ARTICLE 8 — FEES AND MARKETPLACE ECONOMICS
8.1 What Parents Pay
Parents pay Membership (and any other displayed) prices in dollars and book Activities in Credits at the displayed Credit price. There are no hidden booking surcharges: the Credit price shown at checkout is the price charged.
8.2 What Vendors Receive
Vendors name their own price for each Activity. The Platform converts that price into a Credit price for Parents, rounding in the Vendor's favor, and the Vendor is paid on its named basis. The current default payout rate is eighty-eight cents (US $0.88) per redeemed Credit.
8.3 Platform Take
ORYN Quest's compensation comes from the margin between Membership pricing and Vendor payouts. At current default settings this blended platform margin is approximately twenty-eight percent (28%). It is not a deduction from the Vendor's named price.
8.4 Adjustments With Notice
Payout rates and platform economics are configurable platform settings. ORYN Quest may adjust them prospectively with notice to affected Vendors through the Platform or the fee schedules referenced in the Vendor Participation Agreement. The payout basis applicable to a Booking is captured at the time of that Booking, so later rate changes apply prospectively and do not retroactively change completed Bookings.
8.5 Platform-Funded Discounts
Promotional discounts funded by ORYN Quest — including promotional codes and last-minute deals — reduce the Credit price the Parent pays without reducing the Vendor's payout basis for that Booking.
8.6 Taxes
Vendors are independent businesses responsible for their own taxes. ORYN Quest issues tax information returns where required by Applicable Law, as described in the Vendor Terms & Conditions.
ARTICLE 9 — PROMOTIONS, DEALS, AND LOYALTY
9.1 Promotional Codes
ORYN Quest may offer promotional codes that reduce the Credit price of eligible Bookings. Promo codes are validated at booking, may carry eligibility limits, and may not be combined with other discounts unless stated.
9.2 Last-Minute Deals
Eligible sessions close to their start time may display a last-minute discount. The displayed discounted Credit price is the price charged. Last-minute discounts do not stack with promotional codes. The Vendor is paid on the undiscounted basis (see Section 8.5).
9.3 Loyalty Benefits
The Platform may offer loyalty benefits for repeat participation, as described where the benefit is displayed.
9.4 Changes and Anti-Abuse
Promotions, deals, and loyalty programs are offered at ORYN Quest's discretion and may be modified or withdrawn prospectively at any time. Abuse of promotions (including fictitious bookings or self-dealing) is prohibited and may result in reversal of benefits and account enforcement.
ARTICLE 10 — RECURRING ENROLLMENTS
10.1 Availability
Where the recurring enrollment feature is made available, Parents may enroll a Child in a recurring Activity schedule with automatic charges each cycle.
10.2 Governing Document
Recurring enrollments — including authorization, per-cycle charges, failed-payment (dunning) handling, and cancellation — are governed by the Recurring Enrollment Terms, which are presented and must be accepted before a recurring enrollment is created.
10.3 Feature Status
ORYN Quest may enable, limit, or disable the recurring enrollment feature by market or account, and its availability on the Platform controls.
ARTICLE 11 — REFERRAL PROGRAM
11.1 How It Works
Where offered, Parents may share a personal referral code or link. When a referred family signs up and completes the qualifying steps described on the Platform's referral pages, the referrer earns a reward in Credits in the amount displayed at the time of the referral.
11.2 Anti-Abuse Rules
The following are prohibited and disqualify rewards:
- redeeming your own referral code;
- redeeming more than one referral code per account;
- reusing a referral code that has already been used;
- creating duplicate or fictitious accounts to generate rewards; and
- spamming referral links in violation of the Community Guidelines or Applicable Law.
11.3 Reservation
ORYN Quest may verify qualification, withhold or reverse rewards obtained through abuse, and modify or discontinue the referral program prospectively at any time.
ARTICLE 12 — DISPUTES AND SUPPORT
12.1 Start With Support
Most marketplace issues — booking problems, refund questions, review disputes, messaging concerns — are resolved fastest through support@orynquest.com.
12.2 Formal Disputes
Formal disputes are governed by:
- (a) for Parents, the dispute-resolution provisions of the Terms of Use;
- (b) for Vendors, the dispute-resolution and arbitration provisions of the Vendor Participation Agreement; and
- (c) in each case, the Dispute Resolution Procedures published on the Platform.
12.3 Payment Disputes
Card payment disputes are handled through the payment processor's chargeback mechanisms. Users are asked to contact ORYN Quest first so issues can be resolved directly.
ARTICLE 13 — CHANGES TO THESE RULES
ORYN Quest may update these Rules from time to time. Updated versions are posted on the Platform with a new effective date, and material changes may require affirmative re-acceptance before continued use.
